1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mendios Technologies Bangalore Pvt Ltd ("Company," "we," "us," or "our") concerning your access to and use of the WebMobi Events platform (accessible at events.webmobi.com) and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable law
• All information you provide is accurate and truthful

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

We offer various subscription tiers:

• Free Tier: Limited features, 50 attendees per year
• Basic ($399/year): 250 attendees per year, basic features
• Engage ($999/year): 1,000 attendees per year, advanced features
• Premium ($1,999/year): 1,500 attendees per year, enterprise features

4.2 Billing and Payment

• Subscriptions are billed annually in advance
• Payments are processed through Stripe or Razorpay
• All fees are in USD or INR as specified
• Fees are non-refundable except as stated in our Refund Policy
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in service suspension

4.3 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 7 days before the renewal date. You can cancel anytime through your account settings.

4.4 Upgrades and Downgrades

• Upgrades: Prorated charges apply immediately
• Downgrades: Take effect at next renewal date
• No refunds for unused portions of the billing period

5. Service Features and Limitations

5.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may suspend the Service for maintenance, updates, or emergencies.

5.2 Usage Limits

Each subscription tier has specific limits:

• Number of attendees per event and per year
• Number of admin users
• Storage capacity
• Email sending limits
• AI credit allocation
• Data retention period

Exceeding these limits may result in additional charges or service limitations.

5.3 AI Features

AI-powered features are provided "as is." We do not guarantee accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and approving all AI-generated content before use.

6. User Content and Conduct

6.1 Your Content

You retain ownership of all content you upload ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely to provide the Service.

6.2 Content Responsibilities

You are solely responsible for your User Content and warrant that:

• You own or have rights to the content
• Content does not violate any laws or third-party rights
• Content is not fraudulent, deceptive, or misleading
• Content does not contain malware or harmful code

6.3 Prohibited Conduct

You agree NOT to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Upload illegal, harmful, or offensive content
• Impersonate others or misrepresent affiliations
• Engage in spamming, phishing, or fraudulent activities
• Attempt to hack, disrupt, or overwhelm the Service
• Reverse engineer or extract source code
• Resell or redistribute the Service
• Use automated tools without permission (bots, scrapers)
• Interfere with other users' access

7. Intellectual Property Rights

7.1 Our Property

The Service, including all software, designs, graphics, text, and trademarks, is owned by Mendios Technologies Bangalore Pvt Ltd and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

7.3 Feedback

Any suggestions, ideas, or feedback you provide may be used by us without compensation or attribution.

8. Payment Processing and Transactions

8.1 Zero Platform Fees

We do not charge transaction fees on ticket sales. However, payment processors (Stripe, Razorpay) charge their own fees directly to you.

8.2 Payment Gateway Integration

You must connect your own Stripe or Razorpay account. We are not responsible for payment processor fees, chargebacks, or disputes.

8.3 Tax Compliance

You are responsible for collecting and remitting all applicable taxes (GST, sales tax, etc.) for your events.

9. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. We comply with the Information Technology Act, 2000, and GDPR for European users. You are responsible for complying with data protection laws when collecting attendee information.

10. Disclaimers and Limitations of Liability

10.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.3 Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including natural disasters, war, strikes, internet outages, or government actions.

11. Indemnification

You agree to indemnify and hold harmless Mendios Technologies Bangalore Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of third parties

12. Termination

12.1 By You

You may terminate your account at any time through your account settings. Termination does not entitle you to a refund.

12.2 By Us

We may suspend or terminate your access immediately if you violate these Terms, without notice or liability.

12.3 Effect of Termination

• Your right to use the Service ceases immediately
• We may delete your account and data after the retention period
• You can export your data before termination
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

13.3 Arbitration

Before initiating legal proceedings, parties agree to attempt resolution through mediation or arbitration under the Arbitration and Conciliation Act, 1996.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us.

14.2 Modifications

We may modify these Terms at any time. Material changes will be notified via email or platform notice. Continued use after changes constitutes acceptance.

14.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.5 Assignment
